Agreement between you and DRG TECH
Acceptance of Terms
By accessing or using the DRG TECH website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.
DRG TECH reserves the right to modify these terms at any time. Changes become effective immediately upon posting. Your continued use of our services constitutes acceptance of the modified terms.
Services Provided
DRG TECH provides professional IT services including but not limited to:
- Network Services: Design, implementation, troubleshooting, and optimization of network infrastructure.
- Server Administration: Linux and Windows server management, virtualization, and system administration.
- Security Services: Penetration testing, vulnerability assessment, firewall configuration, and security audits.
- CCTV & Surveillance: Installation, configuration, and maintenance of surveillance systems.
- Web Development: Custom website development, API integration, and database management.
- IT Documentation: Network diagrams, SOPs, asset inventory, and technical documentation.
Service delivery timelines, scope, and specifications will be detailed in separate service agreements or project proposals.
Client Responsibilities
As a client of DRG TECH, you agree to:
- Provide accurate and complete information necessary for service delivery.
- Grant reasonable access to systems, networks, and facilities as required.
- Ensure you have the legal right to authorize work on the systems provided.
- Pay all fees and charges in accordance with agreed payment terms.
- Comply with all applicable laws and regulations regarding your use of our services.
- Maintain security of any access credentials provided.
- Notify us promptly of any unauthorized access or security concerns.
Payment Terms
- Service Fees: Fees are outlined in proposals or service agreements prior to engagement.
- Invoicing: Invoices are sent upon project completion or on a monthly basis for ongoing services.
- Payment Methods: We accept bank transfers, checks, and other agreed payment methods.
- Late Payments: Late payments may incur interest charges at 1.5% per month or the maximum allowed by law.
- Deposits: Certain projects may require a deposit before work commences.
- Refunds: Refund policies are specified in individual service agreements.
Intellectual Property
Our Content: All content on this website, including logos, text, graphics, code, and design elements, is the property of DRG TECH and protected by copyright and intellectual property laws.
Client Materials: Materials provided by clients remain their property. DRG TECH claims no ownership over client data or intellectual property.
Deliverables: Custom deliverables created for clients (code, configurations, documentation) are owned by the client upon full payment, unless otherwise specified in the agreement.
Usage Rights: DRG TECH may use general knowledge, techniques, and methodologies gained during service delivery for future work, but not client-specific confidential information.
Limitation of Liability
To the maximum extent permitted by law:
- DRG TECH provides services "as is" without warranties of any kind, express or implied.
- We do not warrant that services will be uninterrupted, error-free, or completely secure.
- In no event shall DRG TECH be liable for indirect, incidental, or consequential damages.
- Our total liability shall not exceed the fees paid for the specific service giving rise to the claim.
- We are not responsible for damages resulting from unauthorized access, data breaches, or client system vulnerabilities.
DRG TECH is not liable for losses arising from network failures, security incidents, or other circumstances beyond our reasonable control.
Termination
Either party may terminate service agreements:
- By Client: With written notice as specified in the service agreement.
- By DRG TECH: For non-payment, breach of terms, or if continuing services would create security risks.
- Immediate Termination: May occur for illegal activities, fraud, or actions that endanger systems or data.
Upon termination, clients must pay for all services rendered up to the termination date. Confidential information will be returned or destroyed as per agreement.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions.
Any disputes arising from these terms or services provided shall be resolved through:
- Good Faith Negotiations: Initial dispute resolution through mutual discussion.
- Mediation: If negotiations fail, mediation will be attempted.
- Arbitration: Final resolution through binding arbitration in Kathmandu, Nepal.
Each party bears its own costs unless otherwise agreed or ordered by the arbitrator.
These Terms of Service constitute the entire agreement between you and DRG TECH. Any waiver of these terms must be in writing. If any provision is found invalid, the remaining provisions remain in effect.
